Terms of Service

Please read these Terms of Service carefully before using the Club Shepherd website or placing any order. By accessing clubshepherd.com or making a purchase, you agree to be bound by these terms. If you do not agree, do not use the site.
1. About Club Shepherd
Club Shepherd is a for-profit merchandise company incorporated in Indiana. We operate online storefronts that sell custom apparel and merchandise. Organizations (clubs, schools, and community groups) partner with Club Shepherd under a revenue-share arrangement: for every eligible item sold, the organization receives a fixed royalty amount assigned to that product.
Purchases made on clubshepherd.com are standard retail transactions. They are not charitable donations and are not tax-deductible. Club Shepherd does not solicit charitable contributions on behalf of any organization.
2. Who These Terms Apply To
These Terms of Service apply to two groups:
Customers (Buyers)
Any individual who visits clubshepherd.com, browses products, or completes a purchase is a customer and is subject to these terms.
Partner Organizations
Any school, club, community group, or other organization that enters into a partnership agreement with Club Shepherd to operate a store on the platform is a partner organization. Partner organizations are also subject to these terms, in addition to any separate partner agreement executed with Club Shepherd.
If there is a conflict between these Terms of Service and a separate written partner agreement, the partner agreement controls.
3. Nature of the Transaction
All purchases on clubshepherd.com are retail merchandise transactions. When you buy a product:
• You are purchasing a physical item from Club Shepherd.
• A fixed royalty amount — clearly displayed on each product page — is allocated to the partner organization associated with that store.
• The royalty is paid by Club Shepherd to the organization from the proceeds of the sale. It is not a separate donation or surcharge collected from you.
• The purchase price you pay is the total price for the item, inclusive of the royalty allocation.
Club Shepherd determines all pricing. The royalty amount assigned to each product is set at Club Shepherd's discretion and communicated to partner organizations in their partner agreement.
4. Orders and Fulfillment
Order Acceptance
Placing an order on clubshepherd.com constitutes an offer to purchase. Club Shepherd reserves the right to accept or decline any order. You will receive an order confirmation by email when your order is accepted.
Production and Shipping
All items are produced on demand. Production and shipping times are estimated at 3–7 business days from order placement. Shipping is provided at no additional charge to the customer. Tracking information will be sent to the email address provided at checkout once the order is fulfilled.
Delivery Address
You are responsible for providing an accurate delivery address. Club Shepherd is not responsible for orders delivered to an incorrect address provided by the customer.
Availability
Product availability is subject to change. Club Shepherd reserves the right to discontinue products or close individual organization stores at any time without prior notice.
5. Pricing and Payment
All prices are displayed in U.S. dollars. Club Shepherd accepts payment through the methods displayed at checkout. You represent that you are authorized to use the payment method provided.
Applicable taxes, if any, will be calculated and displayed at checkout based on the delivery address.
6. Gift Cards
Club Shepherd digital gift cards are subject to the following terms:
• Gift cards may be used toward eligible merchandise purchases from any Club Shepherd organization store.
• No royalty is allocated to any organization at the time of gift card purchase. The organization's fixed royalty is applied only when the gift card is redeemed for eligible merchandise.
• Gift cards do not expire.
• Gift cards have no cash value and may not be returned or exchanged for cash.
• Club Shepherd is not responsible for lost, stolen, or unauthorized use of gift cards.
7. Returns and Refunds
Because all products are made to order, Club Shepherd does not accept returns or exchanges for buyer's remorse, incorrect size selection, or change of mind.
If you receive a defective item or a product with a printing or production error, contact us at support@clubshepherd.com within 14 days of delivery with your order number and a description of the issue. We will send a replacement at no cost to you. If a replacement cannot be provided, we will issue a full refund to your original payment method.
8. Partner Organization Terms
Program Structure
Partner organizations participate in Club Shepherd's merchandise program under a royalty-based model. Club Shepherd operates and manages the storefront, handles all production and fulfillment, and remits fixed royalty payments to the organization for eligible sales.
Royalty Payments
Royalty payments are calculated based on the fixed royalty amount assigned to each product, as specified in the partner agreement. Payments are distributed monthly for any period in which eligible sales occurred. Payments are issued by mailed check to the address on file.
Club Shepherd reserves the right to withhold or offset any payment in the event of a dispute, chargeback, or violation of these terms or the partner agreement.
Organization Responsibilities
Partner organizations are responsible for:
• Ensuring that any content, logos, or branding they provide to Club Shepherd for use in store designs does not infringe third-party intellectual property rights.
• Keeping their contact and payment information current.
• Complying with any applicable licensing requirements for their institution.
No Fundraising Representation
Partner organizations may not represent the Club Shepherd program as a charitable campaign, fundraiser, or donation drive in any public-facing materials. Organizations must accurately describe the program as a merchandise royalty arrangement.
Termination of Partnership
Either party may terminate the partnership arrangement with reasonable written notice. Upon termination, Club Shepherd will close the organization's store and remit any outstanding royalties owed for completed sales.
9. Intellectual Property
All content on clubshepherd.com — including but not limited to text, graphics, logos, and site design — is the property of Club Shepherd or its licensors and is protected by applicable intellectual property laws.
Organization logos and branding used in individual storefronts remain the property of the respective organizations. By providing branding materials to Club Shepherd, organizations grant Club Shepherd a limited, non-exclusive license to use those materials for the purpose of operating the organization's store.
10. Disclaimers
Club Shepherd provides its platform and products on an “as is” and “as available” basis. To the fullest extent permitted by law, Club Shepherd disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Club Shepherd does not guarantee uninterrupted or error-free operation of the website. We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Club Shepherd’s total liability to any customer or partner organization for any claim arising out of or related to these terms or use of the platform shall not exceed the amount paid by that party to Club Shepherd in the 90 days preceding the claim.
Club Shepherd is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
12. Governing Law and Disputes
These Terms of Service are governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any dispute arising from these terms or your use of Club Shepherd shall be resolved in the state or federal courts located in Indiana, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
Club Shepherd reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of the platform after changes are posted constitutes acceptance of the revised terms.
